1. Acceptance of these terms
These Terms of Service (the "Terms") form a legally binding agreement between you and LMTS Development Ltd ("LMTS", "we", "us", or "our") governing your access to and use of the website at lmts.app (the "Site") and any software application that we publish from time to time (each, an "Application", and together with the Site, the "Services"). By accessing or using the Services you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. About LMTS
LMTS Development Ltd is a private limited company incorporated under the laws of England and Wales (company number 17148125), with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom. References to "us" or "we" are references to LMTS.
3. Scope of the Services
The Site is an informational website describing LMTS, its activities, and its policies. LMTS has not, as of the effective date of these Terms, released any consumer-facing Application. Where these Terms refer to features of an Application, those provisions take effect from the date the relevant Application is made available, and may be supplemented or superseded by application-specific terms presented at the point of installation.
4. Eligibility
To use the Services you must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and capable of forming a legally binding contract. You must not be subject to any prohibition that would make your use of the Services unlawful, and you must not be located in, or a resident or national of, a country or territory subject to comprehensive sanctions administered by the United Kingdom, the European Union, the United Nations, or the United States.
5. Licence
Subject to your compliance with these Terms, LMTS grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Services for your own personal, non-commercial use. All rights not expressly granted are reserved. No source code, design, or other intellectual property is transferred to you.
For Applications distributed via the Apple App Store, the licence is further subject to the "Licensed Application End User Licence Agreement" published by Apple Inc. and incorporated by reference. You acknowledge that Apple has no obligation to provide maintenance or support for the Applications, and that any claim relating to an Application is solely between you and LMTS, save where Apple's own terms provide otherwise.
6. Acceptable use
You agree not to:
- use the Services for any unlawful, fraudulent, or harmful purpose;
- attempt to gain unauthorised access to, interfere with, or disrupt the Services or any associated infrastructure;
- reverse-engineer, decompile, or disassemble any part of the Services, except to the extent expressly permitted by mandatory applicable law;
- use the Services to launder funds, finance terrorism, evade sanctions, or otherwise breach applicable financial-crime laws;
- use the Services to mine cryptocurrencies on the user's device (such activity is not supported and is prohibited by Apple App Review Guideline 3.1.5(ii));
- use the Services to participate in, or facilitate, an Initial Coin Offering, securities trading, or any other regulated activity that is not properly authorised in the relevant jurisdiction;
- impersonate any person, or misrepresent your affiliation with any person; or
- use any automated means to access the Services other than as expressly permitted.
7. Self-custody & digital assets
If an Application provides functionality relating to digital assets — for example, the generation or management of a cryptocurrency wallet — that functionality is, and will remain, strictly self-custodial. The following applies:
- You control your keys. Private keys and any associated recovery phrase are generated on, and stored exclusively on, your device. LMTS does not hold, has no copy of, and has no means of recovering your keys or recovery phrase.
- Loss is irreversible. If you lose access to your device and your recovery phrase, your funds will be permanently inaccessible. We strongly urge you to back up your recovery phrase securely and offline.
- No custody, no exchange. LMTS does not custody user funds, operate an exchange, broker trades, or otherwise act as a virtual asset service provider. We do not hold customer money.
- Risk. Digital assets are volatile and may lose all of their value. Transactions recorded on a public blockchain are typically irreversible. You are solely responsible for evaluating the merits and risks of any transaction you choose to perform.
- Tax. You are solely responsible for determining what taxes, if any, apply to your transactions and for reporting and remitting any tax to the relevant authority.
- Geographic limits. Features that require licensing in a particular jurisdiction will be made available only where we (or a properly licensed partner) hold the necessary permissions, in line with Apple App Review Guideline 3.1.5(iii).
8. No financial, legal, or tax advice
Nothing in the Services constitutes financial, investment, legal, accounting, or tax advice, or a recommendation to enter into any transaction. Any information or content provided by the Services is for general informational purposes only and is not a substitute for professional advice. You should obtain independent advice from suitably qualified professionals before making any decision.
9. Third-party services
The Services may interoperate with third-party services, including public blockchain networks, RPC providers, Apple platform services, and our content-delivery provider. We are not responsible for the availability, content, or practices of any third-party service, and your use of them is subject to their own terms and policies.
10. Fees
Where an Application or feature carries a fee, that fee will be presented clearly before you incur it, in accordance with the rules of the platform through which the Application is distributed (including Apple App Review Guideline 3.1). Network fees payable to public blockchain validators are determined by the network and are not received by LMTS.
11. Intellectual property
All content, code, design, trade marks, and other intellectual-property rights in the Services are owned by LMTS or its licensors and are protected by applicable laws. The trade mark "LMTS" and the LMTS monogram are trade marks of LMTS Development Ltd. Nothing in these Terms transfers any intellectual-property right to you, save for the limited licence expressly granted in clause 5.
12. Privacy
Your use of the Services is also governed by our Privacy Notice, which describes how we process personal data and how you can exercise your rights under the UK GDPR and the Data Protection Act 2018.
13. Disclaimer of warranties
The Services are provided "as is" and "as available". To the maximum extent permitted by law, LMTS disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, and the absence of defects, viruses, or errors. LMTS does not warrant that the Services will be uninterrupted, error-free, or secure against unauthorised access by third parties. Nothing in this clause limits any non-excludable statutory right you may have as a consumer.
14. Limitation of liability
To the maximum extent permitted by law:
- LMTS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profit, revenue, goodwill, data, or opportunity, however arising;
- LMTS will not be liable for losses caused by the loss, theft, or compromise of your device or your recovery phrase, by your acts or omissions, or by the acts or omissions of any third party (including the operators of public blockchain networks); and
- LMTS's aggregate liability in connection with the Services, however arising, will not exceed the greater of (a) £100 and (b) the total amount you have paid to LMTS in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or for any other liability that may not be excluded under applicable law.
15. Indemnity
You agree to indemnify and hold harmless LMTS and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law or the rights of a third party, or (c) your use of the Services in a manner not authorised by these Terms.
16. Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe that you have breached these Terms, or if we are required to do so by law or by a competent authority. You may stop using the Services at any time. Clauses concerning intellectual property, disclaimers, limitations of liability, indemnity, and governing law survive termination.
17. Changes to these Terms
We may update these Terms from time to time to reflect changes in our products, in the law, or in regulatory expectations. The current version is the one displayed on this page, identified by the effective date at the top. Material changes will be notified to you by reasonable means (including, where you use an Application, a prominent in-app notice).
18. Governing law & jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. You and LMTS agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that, if you are a consumer resident in another part of the United Kingdom or in the European Union, you may also bring proceedings in the courts of your country of residence to the extent provided by mandatory law.
